TERMS COACH BY APP

PARTIES

Supplier: PTSO Distance Education AB, a company registered under Swedish law with organization number 559435-5702 and headquarters located at Vretgatan 6, 573 61 Sommen (hereinafter referred to as "Supplier")

PREMISES

The Supplier offers its coaching platform via mobile and PC application ("Coach by App"). The Coach wishes to subscribe to one of the packages offered by the Supplier as described below.

NOW, THEREFORE, in consideration of the mutual promises and commitments set forth herein, the parties agree as follows:

1. SERVICES

   The Supplier shall provide the coaching platform to the Coach as described in the selected package ("Services").

2. PACKAGES

   The Coach can choose from the following packages:
   1. Small Package
      Register in the Coach by App system.
      Coach up to 20 clients.
      The subscription is valid for 3-month periods and is renewed continuously until either party chooses to terminate the agreement.
      Price: 49 Euro + VAT/month.
   2. Medium Package
      Register in the Coach by App system.
      Coach up to 50 clients.
      The subscription is renewed in 3-month periods and is automatically renewed until either party chooses to terminate the agreement.
      Price: 99 Euro + VAT/month.
   3. Large Package
      Coach 51+ clients.
      The subscription is renewed in 3-month periods and is automatically renewed until either party chooses to terminate the agreement.
      From the 51st client, 10% of the revenue.
      Price: 99 Euro:- + VAT/month + 10% of the revenue.
   4. PT Student Package
      For you who are currently attending or have attended PTskolanonline.se
      Coach up to 20 clients.
      The subscription is renewed in 3-month periods and is automatically renewed until either party chooses to terminate the agreement.
      3 months free, thereafter 49 Euro + VAT/month for 9 months.
   5. Add-On: Client Transfer
      PTSO offers to assist the Coach in transferring their clients free of charge from their current system to Coach by App, provided the Client opts for a 1-year subscription.

3. PAYMENT

   The Coach shall make advance payments to the Supplier for the monthly fee via their credit card registered in the Coach by App system.
   For 51+ clients, a monthly invoice will be issued. (10% of revenue from the 51st client)

4. DIGITAL SIGNATURE

   The Coach agrees to this agreement upon selecting a package.

5. TERM AND TERMINATION

   The term of the agreement shall be in accordance with the selected package. Subscription renewals occur automatically unless the Coach chooses to cancel. Termination requires the notice period specified for the respective package.

6. RIGHT TO TERMINATE/PAUSE

   Coach by App has the right to terminate or pause this agreement if the Coach misuses the platform in any way.

7. SERVICE

   Coach by App is an online platform for professional coaches to coach their clients.

8. ENTIRE AGREEMENT

   This agreement contains the entire agreement between the parties and supersedes all prior agreements and understandings between the parties.

9. GOVERNING LAW

   This agreement shall be governed by and construed in accordance with Swedish law.
   IN WITNESS WHEREOF, the parties have hereby executed this agreement as of the effective date.
